1. Acceptance of Terms
By accessing or using Shore ("the Platform"), operated by OceanEd, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Platform.
2. Description of Service
Shore is a website platform designed for K-12 schools in the Philippines. We provide tools to create, customize, and publish school websites using pre-built themes and content management features.
3. Domains, Hosting, and SSL
- Your subscription includes registration and renewal of one (1) standard
.comdomain on your behalf, hosting, and an SSL certificate. The "free domain" benefit advertised with the plan applies to.comtop-level domains only and does not extend to any other TLD. - Premium top-level domains — including but not limited to
.ph,.edu.ph,.com.ph, and other restricted or country-specific TLDs — are not included in the subscription fee. Their registration, renewal, accreditation paperwork (e.g., DepEd or CHED endorsement for.edu.ph), and any registrar surcharges are the school's responsibility. - You may connect a domain you already own or have separately registered. We provide DNS guidance and SSL provisioning, but we do not act as registrar for domains we did not register on your behalf and we are not responsible for lapses, transfers, or disputes with your registrar.
- If you ask us to register a non-standard TLD on your behalf, we may quote it as an add-on at registrar cost plus a reasonable handling fee. Such add-ons are billed separately and do not change the base subscription price.
- We reserve the right to revise pricing for future renewal periods if registrar, hosting, or certificate costs change materially. Existing paid terms will be honored at the agreed price.
4. "Live This Week" Timeline
Marketing statements such as "up and running this week" or "live this week" refer to a typical setup window of five (5) working days, subject to the following:
- The five-working-day clock only begins once you have provided all required inputs — signed agreement, initial payment, and the complete content required to build the site (logo, copy, images, staff and program information, policies, and contact details) uploaded or delivered in usable digital form. It specifically does not start at the date of signing or payment if content is still outstanding.
- The clock begins on the Monday following the date on which the last required input is received. Engagements where all inputs are received mid-week do not begin counting until the next Monday.
- Working days exclude weekends and Philippine public holidays.
- The timeline assumes a standard build with no large or out-of-scope requests. Material change requests — such as custom themes, bespoke integrations, content writing, large media production, or multiple rounds of structural revisions — may extend the timeline, and we will communicate a revised delivery date in writing.
- Delays caused by pending information, additional content, approvals, or third-party services (e.g., domain registrar transfers, DNS propagation) are not counted against the five-working-day window. If inputs arrive in phases, the clock pauses until the next complete batch is received.
5. Pricing, Scope, and "All-In" Inclusions
The advertised first-year price (e.g., ₱14,990 "all-in") and statements such as "every feature, no upsells" refer to the standard Shore subscription as described on our pricing page. They cover:
- Access to all themes and platform features generally available to all subscribers as of your start date.
- Standard setup and design adjustment (see Section 7), hosting, SSL, and a
.comdomain as described in Section 3. - Standard email support (see Section 8).
The price does not include:
- Premium or country-specific TLDs (see Section 3).
- Custom development, bespoke integrations, or features not generally available on the platform.
- Content production (copywriting, photography, videography, translation, or graphic design beyond your logo and basic branding).
- Third-party services, paid APIs, or fees charged by external providers you elect to use.
- Taxes, payment processing fees, and bank charges, where applicable.
6. Renewal Pricing
The advertised renewal price (e.g., ₱3,990/year from year 2) covers domain renewal, SSL, hosting, and ongoing platform maintenance for a standard subscription. We may revise renewal pricing for future periods if registrar, hosting, certificate, or platform costs change materially, or if we add substantial new capabilities. We will provide written notice at least thirty (30) days before any renewal price change takes effect. Your current paid term is honored at the agreed price.
7. Content Responsibility, Setup, and Revisions
- Your school is the source of all content. You are solely responsible for supplying all text, images, photographs, logos, videos, policies, faculty and staff information, program descriptions, contact details, and any other material that appears on the site. You represent that you own, or have secured all necessary rights, licenses, and consents for, everything you provide (including rights to use images of students, staff, and third parties, and any required parental or guardian consent).
- Shore and OceanEd do not write, produce, curate, or source content on your behalf. We do not author copy, take or license photography, shoot video, translate, or create graphic design beyond applying your logo and basic brand colors. Any content-production services, if available, must be engaged separately under a written scope and fee.
- Our role is to help you organize and publish the content you provide — placing your text, images, and information into the theme, advising on structure and best practices, and adjusting the design around your material. We will not invent, research, or guess content that you have not supplied.
- All content must be delivered in usable digital form (e.g., editable text files or documents, print-ready logos, and images at adequate resolution). We may decline to publish material that is incomplete, unreadable, low-resolution, or that we reasonably believe infringes third-party rights or violates applicable law.
- "Setup & site design adjustment" means selecting a theme from our catalog and adjusting its colors, fonts, logo placement, navigation, and the placement of content you have supplied to reflect your school's branding. It does not include the creation of that content.
- Included revision scope is up to two (2) rounds of feedback on the initial design. Further rounds, or structural changes that go beyond adjusting an existing theme, may be quoted separately as an add-on.
- Custom themes, custom code, or integrations outside our standard feature set are not included and, if requested, will be scoped and billed separately.
- You retain full ownership of and responsibility for the accuracy, legality, and appropriateness of all content published through the site.
8. Support
- Standard support is provided by email in English and Filipino.
- Support hours are Monday to Friday, 9:00 AM to 6:00 PM Philippine Standard Time (PST), excluding Philippine public holidays.
- We target a first response within one (1) working day for standard requests. Response time is a target, not a guaranteed service-level commitment.
- Support covers use of the platform, account issues, billing, and guidance on standard features and DNS setup. It does not cover custom development, content creation, third-party software, or issues caused by changes you make outside the platform.
9. AI Chat Assistant
- The AI chat feature generates responses based on the information you provide about your school and on general language models. It may produce answers that are incomplete, outdated, or incorrect ("hallucinations").
- You are solely responsible for reviewing, approving, and correcting the information made available to the AI assistant, and for any reliance placed on its answers by parents, students, staff, or the public.
- The AI assistant is not a substitute for official school communications. References to "24/7" availability describe the chatbot's uptime, not a commitment that a human staff member is on duty around the clock.
- To the maximum extent permitted by law, OceanEd is not liable for losses, claims, or damages arising from reliance on AI-generated responses.
10. Backups, Monitoring, and Maintenance
- We perform daily offsite backups of platform data with a typical retention of thirty (30) days. Backups are intended as a disaster-recovery measure; we do not guarantee point-in-time recovery of individual items deleted or edited by your users.
- Restore requests are handled on a best-effort basis during support hours (see Section 8).
- We carry out continuous monitoring and apply security patches automatically. Planned maintenance is ordinarily performed during off-peak hours. Emergency maintenance may be performed at any time.
- We do not offer a formal uptime SLA under the standard subscription. Marketing statements about reliability, security posture, or performance (e.g., Lighthouse scores, load times) describe typical results and are not contractual guarantees.
11. Data Privacy (RA 10173)
- Shore is designed to be aligned with the Philippines' Data Privacy Act of 2012 (Republic Act No. 10173) and its implementing rules and regulations.
- For data uploaded or collected through your school's site, your school is the Personal Information Controller (PIC) and OceanEd acts as the Personal Information Processor (PIP).
- A separate Data Processing Agreement (DPA) governs the specific obligations of each party, including security measures, breach notification, sub-processors, and handling of data-subject requests. In the event of any conflict with these Terms, the DPA controls on matters of personal data processing.
- "Alignment" with RA 10173 does not by itself constitute certification, accreditation, or endorsement by the National Privacy Commission or any other authority.
12. Data Export and Portability
- You may request an export of your school's site content (pages, posts, forms submissions, media library files) at any time during an active subscription, in standard formats such as JSON, CSV, or original media files, as applicable.
- Exports are limited to content you or your users entered into the platform. Platform source code, proprietary theme implementations, internal logs, analytics aggregations, and AI conversation histories are not part of a data export.
- We may reasonably limit the frequency of full-site exports (for example, once per calendar month) to protect platform performance. Additional or expedited exports may be accommodated on a best-effort basis.
- Upon termination, we will make your exportable content available for a reasonable period (typically thirty (30) days), after which it may be permanently deleted in accordance with our retention practices.
13. User Accounts
- You are responsible for maintaining the confidentiality of your account credentials.
- You must provide accurate and complete information when creating an account.
- You are responsible for all activities that occur under your account.
14. Acceptable Use
You agree not to:
- Use the Platform for any unlawful purpose or in violation of any applicable laws.
- Upload content that is defamatory, obscene, or infringes on the rights of others.
- Attempt to interfere with or disrupt the Platform or its servers.
- Reverse-engineer, decompile, or attempt to extract the source code of the Platform.
15. Content Ownership
You retain ownership of the content you upload to the Platform. By using Shore, you grant us a limited license to host, display, and distribute your content solely for the purpose of providing the service.
16. Limitation of Liability
To the maximum extent permitted by law, OceanEd shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Platform.
17. Termination
We reserve the right to suspend or terminate your account if you violate these Terms. Upon termination, your right to access the Platform will cease immediately.
18. Changes to Terms
We may update these Terms from time to time. Continued use of the Platform after changes constitutes acceptance of the revised Terms.
19. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines.
